Reforming company law relating to directors duties and responsibilities in Vietnam

This research aims to show the different problematic issues under Vietnamese company law relating to directors' duties and responsibilities. The research also aims to provide suggestions to the Vietnamese Government to reform the company law as well as preventing directors from failing to perform their duties.

The research will focus on ...

  • the development of law relating to the director's duties and responsibilities in Vietnamese company law in different stages since planned economy to present, market economy
  • the duties of directors under the current Vietnamese law and the current mechanism to prevent directors from breaching their duties
  • responsibilities of the directors (including civil and criminal responsibilities) in case they breach their duties
  • the experiences from other countries, especially the United Kingdom in regulating the director's duties and responsibilities
  • and suggestions to the Vietnamese Government to reform the company law relating the director's duties and responsibilities.
